2. SALES

Access to the website for placing an order is permitted to any Customer/Buyer. The Customer may purchase products from our website through any of the following methods: creating an account on the website / without the obligation to register or log in on the website. Regardless of the method the Customer chooses to purchase, they undertake the obligation to provide the requested information in an appropriate, complete, correct, and truthful manner, as specified in their identity document. The Customer is obliged to comply with the provisions of these Terms and Conditions and to complete all required fields for placing and processing the order, regardless of the method they choose to purchase from the website.

Any Customer may use our website solely to view, order, pay for, and reorder our products. Our website may not be used to make any illegal or fraudulent payment, or to post or transmit any defamatory, threatening, obscene, indecent, inflammatory, or otherwise objectionable material. We reserve the right not to allow the posting of and/or to immediately delete, without prior notice, any comment on the website that contains inappropriate language, serious spelling errors, or that could damage our image and/or cause discomfort to customers and visitors. We reserve the right to terminate or restrict your access to the website at any time, without prior notice and without liability. We have the right to use for advertising purposes not only any comment written by visitors or registered members on the website.

Registration. Any customer who wishes to do so may register on our website by simply clicking the Register button and properly following the required steps. To register, you will be asked to enter your first name, last name, email address, and password. You are obliged to enter a valid email address; otherwise, you will not be able to continue the registration process on the website. You are fully responsible for keeping your access password and any registration, authentication, and account information secure. You are fully responsible for any order and/or payment made using our website from your account.

Placing an order. An order is placed by following these steps: 1. select the desired product and add it to the Shopping Cart; 2. if you wish to add more products to the cart, click “Continue shopping,” and if you wish to complete the order, click “Complete order”; 3. enter your email address to confirm receipt of the order; 4. enter the delivery address; 5. enter the billing details; 6. choose the payment method; 7. delivery is made by courier; 8. check the box “I agree to the Terms and Conditions on the website”; 9. you have the option to agree to receive newsletters; 10. place the order by clicking the “Complete order” button.

Confirmation. As soon as possible, you will receive an order confirmation email stating whether the product is in stock and providing the estimated delivery time to the address you provided. If the ordered product is not in stock, the customer will be notified by email and recommended similar products.

3. DELIVERY

Products are delivered by express courier (DPD or FAN Courier) directly to the address specified by the buyer. Delivery is free within Romania. Each watch is handmade after the order is placed; production and delivery times for each collection, as well as international delivery costs, are specified in the Delivery Policy. The delivery time may be modified due to circumstances beyond our control, but shall not exceed 30 days from the date your order is collected. You may complete the Notes section with delivery-related specifications, such as the delivery time, landmarks for finding the address, etc. The order will be shipped in packaging that ensures safe transport. The carrier is responsible for any damage caused during the transport of the product, in accordance with applicable law.

4. PAYMENT AND INVOICING

The prices displayed on the website for each product include VAT, in accordance with applicable law. Payment may be made using any of the following methods: online bank card payment (via NETOPIA), cash on delivery, or bank transfer. The Customer is obliged to choose the payment method before placing the order by checking the corresponding option. The Seller will issue an invoice to the Customer for the delivered products. In this regard, the Customer is obliged to provide the Seller with all the information necessary for issuing the invoice, in accordance with applicable law. The Customer will receive a printed, physical copy of the invoice at the time the ordered products are delivered.

5. WARRANTY

For each product purchased from this website, the Customer is entitled to a warranty in accordance with the Warranty Certificate provided with each product upon delivery. The legal entity providing the warranty is the one specified on the product’s Warranty Certificate. To benefit from the warranty, the Customer is obliged to: have purchased the product from our website and used it solely for the purpose for which it was designed; comply with the operating instructions and use the product in accordance with the manufacturer’s instructions; keep the warranty certificate and the fiscal document proving the purchase of the product; return the product in its original packaging, together with all accessories. The Customer is entitled to the warranty at the location and under the conditions specified in the Warranty Certificate accompanying the product.

Cases in which the warranty does not apply: mechanical damage or deterioration; excessive exposure to solar radiation; missing or altered product serial numbers; product modifications; product failure resulting from failure to comply with the instructions for use, transport, handling, and installation; mechanical damage caused by impact or damage to the product model and serial number markings; flooding, fire, exposure to the sun, electrical discharges, unauthorized interventions; destruction of internal components due to impact. All other provisions in applicable law regarding the warranty of sold products apply. The warranty does not cover any damage caused by the use of the product.

6. RIGHT OF WITHDRAWAL

The Customer is entitled to a 14-day right of withdrawal from the contract, calculated from the date the product is received at the delivery address specified by the Customer. The Customer does not need to justify the withdrawal in any way.

7. RETURNS

If you wish to return a product ordered from our website, you must clearly communicate your intention by email to contact@noah-watch.com or by phone at 0748 760 535. If the watch is not personalized, you will receive a full refund for the product. For personalized or engraved watches, 400 lei, the cost of personalization, will be deducted from the refunded amount.

Please provide us with your full details, the delivery address, the order number, the products you wish to return, and their prices. As soon as possible, you will receive an email confirming that your withdrawal request has been registered, which will also contain the exact address to which you must return the product. The withdrawal request will only be accepted if you comply with the 14-day deadline from the date the product was received at the delivery address provided when placing the order. You may return the products using any courier company of your choice and are obliged to bear the costs incurred by returning the products. You are obliged to return the products for which you have expressed your intention to withdraw from the contract within no more than 14 days from the date you communicated your decision to withdraw. The value of the returned goods will be refunded using the same payment method, without unjustified delay, after the returned product has been received and inspected. 8. TRANSFER OF OWNERSHIP

Ownership of the Goods will transfer upon delivery, after payment has been made by the Customer, to the delivery address specified when placing the Order. The ordered Goods are considered delivered when the recipient signs the delivery document provided by the courier or signs the fiscal invoice in the case of deliveries made by our staff.

9. CONTRACTUAL LIABILITY

By creating and using the Account, the Customer assumes responsibility for maintaining the confidentiality of the Account data (username and password) and for managing access to the Account, and is responsible under the law for all activities carried out through their Account. By accessing the website, creating the Account, using the website, placing orders, etc., the Customer expressly and unequivocally accepts the Terms and Conditions of the website in their latest version published on the website. After creating the Account, using the content is equivalent to accepting any changes made to the website’s Terms and Conditions and/or their updated versions. The Customer is responsible for checking the final version of the Terms and Conditions whenever they use the website. Acceptance of the website’s Terms and Conditions is confirmed by checking the corresponding box on the website and/or by submitting the Order and/or making an online payment. We assume no responsibility for any damage of any kind that the Customer or any other third party may suffer as a result of our performance of any of our obligations under the Order, nor for any damage that may result from the use of the Goods after delivery, let alone their loss. We cannot be held responsible for damage caused to your computer or for viruses that may infect your computer or other equipment as a result of accessing, using, or browsing our website.

10. COMPLAINTS PROCEDURE

Any dissatisfaction regarding access to, use of, or registration on our website, the placement of an order, matters related to the placed order, or other similar issues should be communicated directly to us, either by phone at 0748 760 535 or by email to contact@noah-watch.com. Your dissatisfaction will be registered, and you will receive a written response at the email address provided within no more than 3 business days.

11. INTELLECTUAL PROPERTY

The content of this website, including, but not limited to, the logo, stylized representations, symbols, images, photographs, text content, and other similar materials, is the exclusive property of NOAH WATCHES SRL. It is prohibited to copy, distribute, publish, modify, complete, use, display, include, link to, transmit, remove markings from, or otherwise display or sell the content, data, information, photographs, or other information found on the website without the express written permission of NOAH WATCHES SRL. No Customer acquires any right or license to use any of the information on the website by using or accessing the website. No customer has the right to use an automated or manual device to monitor the materials available on the website.

12. CONFIDENTIALITY

By submitting information or materials through this website, including ideas, concepts, know-how, techniques, etc., the Customer provides us with unrestricted and irrevocable access to them, and the right to use, reproduce, display, modify, transmit, and distribute these materials or information. The availability of a product in stock, whether or not it is part of a promotion, will be announced by email after the Customer places the order.

13. PROCESSING OF PERSONAL DATA

NOAH WATCHES SRL processes customers’ personal data in accordance with Regulation (EU) 2016/679 (GDPR). What data we collect, for what purposes, how long we retain it, and what rights you have are described in the Privacy Policy. 14. ADVERTISING

Upon creating an account on the website and/or placing an order, the Customer has the option to agree to receive Newsletters. The Newsletter is a means of providing periodic information, exclusively electronically (email, SMS), about the Goods, Services, Promotions, etc., from the Seller during a certain period, without any commitment on the part of the Seller regarding the information contained therein. The Customer may withdraw this agreement at any time, without any obligation, by contacting us at 0748 760 535 or by accessing the unsubscribe link at the bottom of each Newsletter received.

15. FORCE MAJEURE

Neither contracting party shall be liable for failure to perform on time and/or improper, total, or partial performance of any obligation incumbent on it under this contract if such non-performance or improper performance of the respective obligation was caused by force majeure, as defined by law, due to reasons beyond the control of the parties. The party invoking force majeure is obliged to notify the other parties within 5 (five) days of the occurrence of the event and to take all possible measures to limit its consequences.

16. GOVERNING LAW

The contract shall be governed by and construed in accordance with Romanian law. Any misunderstanding between the Seller and the Customer regarding the relationships arising from this Contract shall be resolved amicably, and in the event of failure, shall be submitted to the competent courts of Cluj-Napoca.

17. FINAL PROVISIONS

This website is owned by NOAH WATCHES SRL, which grants you the right to access and use the website subject to your acceptance of these Terms and Conditions. By accessing and using the website, you automatically and unequivocally agree to comply with the Terms and Conditions on the website.

NOAH WATCHES SRL reserves the right to modify the Terms and Conditions at any time without prior notice by posting the updated version on the website, and the Customer is obliged to read the Terms and Conditions whenever they access the website. The Customer is obliged to comply fully with the Terms and Conditions on the website and may not claim or defend themselves based on ignorance of the Terms and Conditions on the website, which are valid at the time of access, use, and/or placement of an order on the website.

NOAH WATCHES SRL periodically organizes various Promotions, which are announced on the website. Promotions become valid when they are activated on the website and cease to be valid when they are deactivated on the website. Promotions cannot be combined with each other or with other discounts and are valid only while supplies last.
